This Code of Conduct
AP4 operates in full compliance with international, national and local laws and regulations. This Code of Conduct sets out the standards of integrity, quality, safety, and compliance expected of all suppliers, partners, subcontractors, and distributors (collectively “Suppliers”) that supply goods and services to AP4.
It applies to all AP4 employees, contractors, and representatives involved in supplier management, and to Suppliers and their personnel performing work for AP4 or on AP4 premises.
BUSINESS INTEGRITY
Compliance with applicable laws and regulations
AP4 expects its Suppliers to comply with all national and foreign laws, regulations and official requirements applicable to their business and operations. International laws, regulations and standards prevail when these are more stringent than local legal requirements and/or local standards.
Business Code of Conduct
Suppliers shall conduct all business activities with honesty, transparency, and fairness, avoiding misrepresentation, fraud, or deceptive practices in any dealings with AP4 customers or partners.
Suppliers must compete lawfully and ethically, refraining from anti-competitive practices, collusion, or price fixing.
Suppliers should foster a culture of integrity within their company, provide ethics training, and establish internal controls to detect and prevent misconduct.
Bribery
Suppliers must not offer, promise, give, solicit, or accept bribes, kickbacks, or improper inducements in any form to or from AP4 personnel, customers, or third parties. Transactions and relationships must be conducted with integrity, based on fair terms, and in compliance with all applicable anti-corruption laws and AP4 policies. AP4 may investigate suspected improper conduct. Suppliers must cooperate fully and promptly with any such investigations and implement corrective actions as required.
Prevention of Money Laundering and Terrorist Financing
AP4 expects its Suppliers to comply with applicable legal obligations for the prevention of money laundering and terrorist financing and not to engage directly or indirectly in money laundering activities or terrorist financing or to promote such activities.
Gifts, Hospitality, and Entertainment
Suppliers must ensure that the offering or receiving of gifts or business courtesies is permissible under applicable laws and regulations and that such exchanges do not violate the rules and standards of the recipient's organization and are also consistent with market practice and custom.
Invitations and gifts to business partners, customers or public officials or persons close to them may only be granted if the occasion and the extent are appropriate and socially adequate, i.e. they are of low value and can be regarded as an expression of courtesy and locally generally accepted business practice. Gifts of money or monetary benefits (such as vouchers, gift cards, payment cards, etc.) may neither be offered nor accepted.
Fair Competition and Antitrust Law
Suppliers shall act in accordance with national and international competition laws and shall neither openly nor tacitly enter into anti-competitive agreements (such as price agreements, sharing of markets or customers, market agreements or bid rigging). Suppliers shall ensure through appropriate training that employees are familiar with the basics of competition and antitrust law.
Conflicts of Interest
Suppliers must avoid all conflicts of interest with AP4 that could influence the business relationship. This includes avoiding, to the best of their knowledge, any situation that gives the appearance of a potential conflict of interest. Should a conflict of interest occur, or should the Suppliers specifically suspect such a conflict, the Suppliers shall immediately notify all companies and persons potentially affected by the conflict of interest.
Confidentiality
Suppliers shall protect all confidential information provided by AP4. Confidential and proprietary information includes such things as pricing and financial data, customer names/addresses or nonpublic information about other companies, including current or potential supplier and vendors.
Information Security and Confidentiality
Suppliers must maintain a secure information system, implement robust cybersecurity controls and ensure that all personnel are properly trained in data protection, secure information handling and confidential obligations.
Technical Competence
Suppliers must maintain appropriate technical expertise, certification and industrial qualifications and ensure that all work is performed by competent and properly trained personnel. They are expected to apply recognized industry best practices while remaining current with relevant technologies, regulatory and market development to sustain excellence and compliance.
Continuous Improvement
Suppliers must regularly assess risks, implement improvement plans and identify gaps in compliance to ensure consistent performance. This commitment to ongoing evaluation and corrective action drives operational excellence, mitigating potential issues and support continuous enhancement across all processes.
Risk Management
Suppliers are expected to maintain a robust business continuity plan, identity and mitigate operational, financial and reputational risks. Suppliers are also expected to share their business continuity plans with AP4 upon request, demonstrating transparency and preparedness to manage potential disruption effectively.
HEALTH, SAFETY, SECURITY, AND ENVIRONMENT
Occupational Health and Safety
Suppliers must provide a safe and healthy working environment, comply with all applicable health and safety laws, and implement risk assessments, training, and incident reporting. Suppliers must play an active role in identifying and rectifying unsafe situations, and work on continuous improvement of the health of their employees.
Climate Action
Suppliers should minimize environmental impact by reducing waste, conserving energy and water, and adopting cleaner production practices where possible. They must comply with applicable environmental laws.
Sustainable Resource Management
Suppliers must have in place or shall establish a procedure for the safe handling, storage, transportation, utilization and disposal of waste in accordance with the applicable legislation. Suppliers shall adopt and implement the waste management hierarchy principles i.e. Avoid, Reduce, Reuse, Recycle and Dispose and propose solutions for waste minimization related to the delivered goods or services. Suppliers shall provide customers and the public with clear information about the environmental and safety aspects of their products and production processes.
SOCIAL CONDUCT
Human Rights and Labor Standards
AP4 expects its Suppliers to conduct their business in alignment with the rules and laws set forth by the United States Department of Labor as well as the United Nations Guiding Principles on Business and Human Rights (UNGPs) and to respect all internationally recognized human rights. This includes, but is not limited to, the rights set out in the International Bill of Human Rights, the International Labor Organization (ILO) Declaration on Fundamental Principles and Rights at Work, and applicable standards of international humanitarian law. Suppliers are also expected to promote these standards throughout their own supply chains processes and practices and ensure that their business partners respect human rights accordingly.
Prohibition of Child Labor
Suppliers shall not employ or permit the employment of anyone under the age defined by applicable laws and minimum age standards. Suppliers must not allow children to work who have not yet reached the minimum working age set by the ILO. In countries that fall under the developing country with the exception to ILO Convention 138, the minimum age may be reduced to 14 years. Suppliers must not employ workers for risky work who do not have a minimum age of 18 years.
Prohibition of Slavery, Human Trafficking, Forced, and Compulsory Labor
Suppliers must not participate in or support any form of slavery, servitude, forced labor, or human trafficking. This includes debt bondage, forced debt, or any means by which a person is compelled to work against their will. Workers must be free to leave their employment after reasonable notice without risking penalty or retaliation.
Fair Working Conditions
Suppliers shall comply with applicable labor, employment, and social responsibility laws and standards, including but not limited to fair wages, reasonable working hours, safe working conditions, non-discrimination, freedom of association, and the right to collective bargaining, where permitted by law.
Suppliers should implement systems to monitor compliance with these requirements and promptly remediate any identified issues. AP4 may request evidence of compliance, including age verification, payroll records, and risk assessments.
Suppliers must ensure equal pay for equal work regardless of gender, race, ethnicity, age, disability, nationality, religion, or other protected characteristics. Additionally, Suppliers shall pay at least the legal minimum wage.
Suppliers must not discriminate in hiring, compensation, promotion, or any terms and conditions of employment on the basis of gender, race, ethnicity, age, disability, nationality, religion, or other protected characteristics.
Complaint Process
Suppliers must provide accessible, confidential, and safe channels for employees and other key stakeholders to report concerns without fear of retaliation. Concerns must be promptly acknowledged, investigated impartially, and actions taken with appropriate confidentiality and non-retaliation safeguards.
In the event of suspected violation of any aspect of this Code of Conduct, the Company may conduct audit and investigation to verify compliance. Suppliers are expected to cooperate fully and promptly with any such review.
